What is a business valuation and why is it needed?

Business valuation is the process of determining the market value of a business, taking into account financial, tangible, intangible assets, and risks. It is necessary for making informed decisions – selling, buying, attracting investments, buying back shares, securing a loan, or preparing reports.

When is a business valuation service necessary?

  • Selling or buying a stake in a business – helps to assess the fair value.
  • Buying out another co-owner’s – stake determines compensation for the share.
  • Attracting an investor or loan – confirming financial viability.
  • International or IFRS reporting – for reliability and compliance with standards.
  • Legal disputes and restructuring – confirms the value of assets in court or when changing the structure.

What factors make up the value of a business?

  • Financial statements: revenue, EBITDA, net profit
  • Market conditions: supply/demand
  • Assets: fixed assets, intangible assets
  • Intangibles: brand, customer base
  • Equipment and infrastructure: condition and wear
  • Risk: creditworthiness, stability

What methods are used when valuing a business?

Several methods are used when valuing a business, each of which is selected depending on the purpose and type of enterprise. The income approach is based on forecasting future cash flows - most often used are discounted cash flows (DCF) or the income capitalization method. The asset approach takes into account the net asset value of the company, including in the context of a possible liquidation or reorganization of the business. The comparative approach is based on the analysis of transactions with similar companies and the application of market multipliers. The appraiser may also make expert adjustments, taking into account the specifics of the industry, market situation, risks, and other factors that are not always reflected in the reporting.

What is included in a business valuation report?

  • Full financial analysis
  • Valuation of fixed and intangible assets
  • Market valuation with justification of methodology
  • Recommendations for cost optimization
  • A legally binding document, ready to be submitted to a bank or court

How to start?

To order a business valuation, you just need to go through a few consecutive steps.
1. Leave a request. Start by contacting us - leave a request through the website or contact us in any convenient way. We will quickly respond and start the process.
2. Agreeing on the task, timing and cost. We will discuss your situation in detail, define the purpose of the assessment, the timing of the completion and agree on the cost of the service. This ensures a clear understanding of expectations and results on both sides.
3. Documentation collection. To conduct an assessment, basic documents are required: financial statements for recent periods, company charter, business plan (if available), and other materials confirming the company's structure and activities.
4. Asset analysis. Our specialists conduct an asset audit: they study non-current and current resources, financial flows, debt obligations, and other key indicators that affect the market value of the business.
5. Report preparation. After completing the analysis, we prepare a detailed business valuation report. The document complies with legislative norms, has legal force and can be used in court, negotiations, to attract investments, etc.
6. Additional support. If necessary, we provide further support - we assist during inspections, negotiations with investors or counterparties, and also respond to requests from auditors or government agencies.
